Please read these terms before using the CultureAlly Website Application
CultureAlly Software Inc. d.b.a CultureAlly ("We", "Us", "Our" and terms of similar meaning) is a B2B Software provider that delivers customized diversity and inclusion learning content to our Customer (“Employer”) employees (“Users”) through our web application.
Users are notified by email (and other communication tools) when new learning content (“Content” or “Learning Content”) is available and can be accessed through Our web application (the “Service”). Employer has entered into a separate agreement with Us regarding CultureAlly Website Application and related software including the permitted access and use, by its personnel, of the Content and Service through User accounts in accordance with these Terms. The Content and Service are intended for Customer’s internal purposes, including in connection with User participation in Employer’s diversity and inclusion program.
These Terms apply to your (“You” “Your” or “User”) access and use of the Service which is password protected, owned and hosted by or on behalf of CultureAlly Software Inc. The Service, Content and CultureAlly website (“Website”) (including all content, graphics, interfaces, trademarks, logos, design, "look and feel" of the Website and Learning Content) are the property of CultureAlly and its licensors. We may provide links to third party websites and/or services not under the control of CultureAlly. User agrees that CultureAlly does not endorse and bears no responsibility for such third party websites. If You choose to access such websites and/or services, You do so at Your own risk.
The Service, Content and Website are protected by Canadian, United States. and international copyright laws and copyright treaties as well as other intellectual property laws and treaties. Users may not reproduce, retransmit, share with third parties or use the Content or Service in any manner other than in accordance with the intended aims and purposes and these Terms.

Subject to the adherence to the Terms, CultureAlly grants User a non-exclusive, non-transferable, right to access and use the Service in accordance with these Terms for the Service’s intended purposes. For greater certainty, the Service shall be limited to User’s own use.
User obtains no right, title or interest in the Service (including any associated Content and other materials), or any right, title or interest to any intellectual property rights in the Service or Content. All title, copyright, intellectual property rights in and full ownership of the Service shall remain with CultureAlly. For greater clarity, the Intellectual property rights include, but are not limited to, the “look and feel” of the Service.

To access and use the CultureAlly Service, Users must first register as instructed by CultureAlly. CultureAlly will assign User access permissions to log in.
User is entirely responsible for maintaining the confidentiality of the access permission information for User’s account, including password, and for any and all activity that occurs under User’s account as a result of failure to keep this information secure and confidential. User agrees to notify CultureAlly immediately of any unauthorized use of User’s account or password, or any other breach of security.

CULTUREALLY DOES NOT WARRANT THAT: THE SERVICE WILL BE UNINTERUPTED OR ERROR FREE, THAT ALL ERRORS IN THE SERVICE WILL BE CORRECTED, THAT THE SERVICE WILL RUN ON ALL HARDWARE, OR IDENTIFIES ALL KNOWN BUGS AND FLAWS. THE SERVICE AND CONTENT ARE PROVIDED ON AN “AS IS” BASIS, AND CULTUREALLY DISCLAIMS ANY IMPLIED WARRANTIES AND CONDITIONS, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, OR THOSE ARISING BY LAW, STATUTE, USAGE OF TRADE OR COURSE OF DEALING. CULTUREALLY MAKES NO REPRESENTATION WITH RESPECT TO THE ADEQUACY OF THE SERVICE OR CONTENT WITH RESPECT TO ITS ABILITY TO PRODUCE ANY PARTICULAR RESULT. CULTUREALLY SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING OUT OF THIS AGREEMENT OR THE USE OF THE SERVICE BY USER.

User agrees to indemnify and hold CultureAlly, its officers, directors, shareholders, predecessors, successors in interest, employees and agents harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against CultureAlly by any third party due to or arising out of or in connection with User’s use of the Service and/or Website.

CultureAlly agrees to protect and use User’s Personal Information and Data (as defined in the CultureAlly Privacy Policy) in accordance with the CultureAlly Privacy Policy. For additional information please consult the CultureAlly Privacy Policy located here.

The Terms of Use are governed by the laws of Ontario. User irrevocably agrees to the jurisdiction of Ontario and the laws of Ontario and Canada.

The Service may contain software or other materials licensed from third parties All trademarks and intellectual property rights are the property of their respective owners. We reserve the right to disable any User account at any time in Our sole discretion for any non-compliance with these Terms.
